This page defines the terms and conditions for using the paid themes provided on this site (hereinafter referred to as “the Theme”). The Theme is not “sold” but is provided in the form of a “usage license.”

Definitions

In this license, “Theme” and “Template” (collectively referred to as “the Theme”) refer to website designs, code, configuration files, and all other related data provided through this site.

License Types

Personal License

Available under the following conditions:

• Limited to use in a single project
• Only available for personal or in-house projects
• Prohibited for client work (commissioned production or agency work)
• The Theme may not be shared with an outsourced developer or any other third party; the license holder must be the one building the project (see the Agency License for outsourced development)
• Resale or redistribution of the Theme itself is prohibited

Agency License

Available under the following conditions:

• Available for up to 3 projects
• Available for client work by production companies or freelancers
• Resale or redistribution of the Theme itself is prohibited

Sharing with Outsourced Developers (Agency License Only)

This section applies to the Agency License only; the Personal License does not permit sharing the Theme with an outsourced developer, as noted above.

If you hold an Agency License and need an external developer or agency to help build or maintain a licensed project, you may share the Theme files (including the original ZIP package) with them, under the following conditions:

• The shared developer may use the Theme only for the specific licensed project(s) you assign them to, and for no other purpose.
• Once work on the project ends, the developer must delete all copies of the shared Theme files. If the engagement continues as an ongoing maintenance contract after the initial build, the project is considered ongoing, and the developer may retain the files until that maintenance contract ends.
• As the license holder, you remain responsible for the outsourced developer’s compliance with this license. Any violation by the developer is treated as a violation by you.
• This does not increase the number of projects permitted under your license, and does not grant the developer any independent or ongoing license to the Theme.

We recommend documenting these conditions (compliance with this license, and deletion of the Theme files once the project or maintenance contract ends) in your own agreement with the outsourced developer.

This is a limited exception to the “Hosting, Resale, or Redistribution” restriction below, which otherwise applies to making the Theme available to third parties.

Prohibited Actions

The following actions are prohibited:

1. Creating products designed to allow end users to build final products Creating products or services designed to enable end users to build or distribute final products (sites, services, etc.) using the Theme or its derivatives (code, design, layout, configuration data, etc.) as primary components.
2. Hosting, Resale, or Redistribution Publishing, distributing, hosting, or reselling the Theme or its derivatives in a form accessible to third parties, except as permitted under “Sharing with Outsourced Developers (Agency License Only)” above.
3. AI Use Using the Theme, its code, design assets, or derivatives for machine learning, model training, fine-tuning, dataset creation, or other AI-related learning purposes.
4. Creating Competing Products Creating or providing products or services that, at the creator’s (yohaku) discretion, compete with or conflict with our business.
5. Use on sites that disseminate antisocial, violent, or grotesque information
6. Use on sites that engage in criminal acts, illegal acts, or encourage, incite, or aid such acts
7. Illegal or fraudulent acts such as unauthorized access, cracking, attacks, or virus distribution
8. Misrepresenting the Theme or modified Theme as your own original product

Note: Publishing websites or deliverables created using the Theme on the internet does not constitute a prohibited action (publication itself is permitted).

Image and Media Rights

• Photos, portraits, photographic materials, and sample visuals included in the Theme are included for demonstration purposes only, and the copyright of these materials belongs to their respective owners. When using them in your work, be sure to obtain appropriate licenses or replace them with your own materials.
• However, icons and UI parts included in the Theme are permitted for commercial use as part of the Theme (use and publication within your work is acceptable).

Support and Updates

• License purchasers have the right to download the latest version and receive update notifications
• Support is limited to individual purchaser inquiries

Disclaimer

The Theme is provided “as is” without any warranty of fitness for a particular purpose, merchantability, or non-infringement. We are not responsible for any direct or indirect damages arising from the use or inability to use the Theme.

Trademark and Brand Use

Use of the Theme name or our brand as a trademark is prohibited. However, use of the design or code itself is permitted within the scope of this license.

License Changes

The creator (yohaku) reserves the right to change or replace this license at its sole discretion. In the event of significant revisions, we will notify existing purchasers at least 30 days before applying the new terms.

Response to License Violations

In the event of a violation of these terms, we may take measures such as suspension of use, revocation of access rights, warnings, and claims for damages.
